Terms of Service

Welcome to OreLens Terminal ("OreLens", "the Service"), operated by Junior Mining Media ("we", "us"). By creating an account, accessing, or using the Service — including the free beta — you agree to these Terms. If you do not agree, do not use the Service.

1. Beta service

The Service is currently offered as a beta. Features, data, scores, grades, screeners, and alerts may be incomplete, delayed, interrupted, changed, or removed at any time without notice. Beta software can and will contain errors. You accept the Service "as is" and "as available", with all faults.

2. Not investment advice — no advisory relationship

OreLens is a data and research tool. Nothing on the Service is investment, legal, tax, or accounting advice, and nothing is a recommendation, offer, or solicitation to buy or sell any security. We are not a registered investment adviser, broker-dealer, or analyst with any securities regulator in any jurisdiction. No content creates an advisor–client or fiduciary relationship. Grades (A–F), conviction scores, dilution metrics, "The Assayer" outputs, raise-window estimates, and screener results are mechanical computations from public data — they are opinions of a rules engine, not recommendations, and they can be wrong.

3. Data accuracy — verify everything independently

The Service aggregates and parses public filings (SEDAR+, SEC EDGAR), company news releases, and third-party market data (including EOD Historical Data and Yahoo Finance). Parsing of financings, warrants, share counts, debt, and cash balances is automated and may be inaccurate, incomplete, or out of date — particularly for complex capital structures, recent private placements, flow-through offerings, and instruments announced but not yet filed. You are solely responsible for verifying all figures against the issuer's original filings and news releases before making any investment decision. Where available, we link to source documents for that purpose. Market data may be delayed. Each company profile shows the applicable "Data as of" date(s).

Corrections. If you believe any figure is inaccurate or outdated — including if you represent a covered issuer — contact us at Austin@juniorminingmedia.com with the ticker, the figure, and the source document. Verified corrections are incorporated in the next scheduled data refresh. See our Disclaimer for the full data-sources and corrections policy.

4. Your decisions, your risk

Junior mining securities are highly speculative and can go to zero. Short selling involves unlimited loss potential. Any trading or investment decision you make using information from the Service is made entirely at your own risk. We are not responsible for any gains, losses, or other consequences of your decisions.

5. Accounts, email & SMS consent

You must provide accurate registration information and keep your credentials confidential. By providing your email address you consent to receive service and marketing emails from us (unsubscribe link in every email). By providing your mobile number and accepting these Terms you give express written consent to receive informational and marketing text messages from OreLens at that number (including by automated means). Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to opt out of SMS at any time, or email us to be removed.

6. Acceptable use

You may not scrape, bulk-download, resell, or redistribute the Service or its compiled data; attempt to reverse engineer the scoring models; share your account; or use the Service for any unlawful purpose. We may suspend accounts that violate these rules.

7. Intellectual property

The Service's compilation, scores, grades, design, and branding are our property. Underlying filings and market data remain the property of their respective owners. We grant you a limited, non-transferable license for personal, non-commercial research use during your subscription.

8. Pricing and changes

Access is currently free during the beta. We may introduce paid plans, change pricing, or convert free accounts with advance notice by email. Paid subscriptions, when offered, renew unless cancelled; refunds, if any, are at our discretion unless required by law.

9. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT DATA IS CORRECT, TIMELY, OR COMPLETE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, OR LOST DATA, ARISING FROM OR RELATED TO THE SERVICE OR RELIANCE ON ITS CONTENT — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) CAD $100.

11. Indemnification

You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your investment decisions, or your breach of these Terms.

12. General

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada, without regard to conflict-of-laws rules. Disputes will be resolved in the courts of British Columbia, except where consumer law requires otherwise. If any provision is unenforceable, the rest remain in effect. We may update these Terms; material changes will be announced by email or on the site, and continued use constitutes acceptance.
